We are hiring for one of our clients, seeking a Corporate/M&A Attorney to work on a contract basis. The role involves providing legal guidance on corporate transactions, mergers, acquisitions, and strategic partnerships.

Verantwoordelijkheden

• Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related transaction documents. • Conduct legal due diligence on target companies, identifying risks and liabilities relevant to the transaction. • Advise on corporate governance matters, including board and shareholder meetings, and compliance with state and federal regulations. • Structure and document corporate reorganizations, joint ventures, and strategic alliances. • Liaise with internal stakeholders, external counsel, and regulatory bodies to facilitate smooth transaction execution.

Vereisten

• Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing. • Minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions. • Strong drafting and negotiation skills for transactional documents and agreements. • Proficiency in legal research tools and databases, such as Westlaw or LexisNexis. • Ability to manage multiple projects simultaneously with minimal supervision.
