We are looking for a Corporate Lawyer to advise on a wide range of corporate matters, including financings, M&A, governance, securities, and commercial transactions. This position requires a combination of extensive legal knowledge and strong business acumen.

Responsibilities

• Provide legal advice on financings, M&A, and other strategic corporate transactions.
• Draft and negotiate complex commercial agreements.
• Oversee corporate governance, board materials, and entity matters.
• Assist with securities filings and ensure regulatory compliance as needed.
• Manage relationships with outside counsel and budgets.
• Collaborate with business teams to structure deals with a focus on risk management.

Requirements

• Juris Doctor (JD) with active bar admission in your jurisdiction.
• A minimum of 5 years of experience in corporate law, either in a law firm or in-house.
• Proficient drafting and negotiation skills for major commercial agreements.
• Familiarity with corporate governance and securities law.
• Excellent written and verbal communication skills, with an executive presence.
• Strong commercial judgment and the ability to balance risk with business needs.
