We are looking for a Contracts Attorney to lead the drafting and negotiation of commercial contracts. This role involves handling customer agreements, vendor contracts, partnerships, and the necessary revisions to ensure swift deal closures.

Responsibilities

• Draft, review, and negotiate commercial agreements from start to finish.
• Oversee customer Master Service Agreements (MSAs), Data Processing Agreements (DPAs), and order forms throughout the deal cycle.
• Negotiate vendor, partnership, and procurement agreements.
• Maintain contract templates, playbooks, and approval workflows.
• Collaborate with sales, procurement, and security teams to finalize deals.
• Monitor and report on contract risks, deal velocity, and exception trends.

Requirements

• Juris Doctor (JD) with active bar admission in your jurisdiction.
• Minimum of 4 years of experience in commercial contracts, either in a law firm or in-house.
• Excellent drafting and negotiation skills, particularly with SaaS, vendor, and partnership agreements.
• Knowledge of data protection, intellectual property, and indemnity issues.
• Ability to handle high volumes of contracts while prioritizing effectively.
• Familiarity with Contract Lifecycle Management (CLM) platforms such as Ironclad, LinkSquares, or Agiloft is a plus.
