About the Company

NLC Health Ventures is a prominent healthtech and biotech innovation platform located in Amsterdam, focusing on venture building and fund management across Europe and North America. With a team of 40-45 employees, NLC oversees four captive funds that invest in ventures from pre-seed to Series B-C and is currently fundraising for a fifth fund. The organization values a collaborative, open, and impact-driven culture where team members' contributions are significant.

The Role

As a Legal Counsel, you will collaborate closely with the Head of Legal and a Senior Legal Counsel, providing support to both NLC and the ventures we create. The legal team manages all legal aspects of NLC, its funds, and its portfolio of over 80 ventures, which are currently distributed among team members.

Responsibilities

• Support ventures throughout their investment lifecycle (convertibles, SAFEs, equity transactions).
• Draft and coordinate shareholder and corporate governance documentation (shareholder agreements, resolutions).
• Assist with venture incorporations, restructurings, and liquidations.
• Prepare and negotiate venture-related agreements, including IP and collaboration agreements.
• Support the structuring of new ventures with relevant business units.
• Assist with corporate matters at the group level, including general meetings and governance processes.
• Support compliance and KYC processes across the venture portfolio.
• Contribute to knowledge management within the legal team.

This role provides early exposure to venture financing, governance, and structuring across a diverse portfolio of healthtech startups. You will engage closely with key stakeholders, including venture CEOs, investors, and internal leadership.

Requirements

• Education: A Dutch Master’s degree in Law (LL.M.).
• Experience: 2–4 years of relevant experience in VC, corporate law, or transactional legal practice.
• Language: Fluency in both English and Dutch is essential for navigating Dutch corporate law and managing stakeholders.
• Mindset: Proactive, pragmatic, with a passion for managing multiple ventures at different lifecycle stages.
• Communication: Ability to translate complex legal risks into clear, actionable advice for non-legal stakeholders.
